Welcome to Genius AI! These Terms of Service ("Terms") govern your access to and use of the Genius AI website, applications, and services (collectively, the "Service") provided by OXX Global LLC ("Company", "we", "us", or "our"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing, registering for, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms.

2. Service Description

Genius AI provides AI-driven analysis, data visualizations, and informational content related to financial markets (including stocks, options, futures, commodities). The Service is intended for educational and informational purposes only and does not constitute financial, investment, legal, or tax advice. All decisions based on information from the Service are your sole responsibility.

3. Subscription

Access to the Service requires a paid subscription ("Subscription"). Payment is required immediately upon signing up for a plan.

4. Billing, Payment, and Cancellation

Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually) as selected during signup. Payments are processed via Stripe. You agree to provide current, complete, and accurate purchase and account information. You may cancel your Subscription at any time before the end of the current billing period via your account settings page (which will link to the Stripe Customer Portal). Cancellation will be effective at the end of the current billing period, and you will retain access to the paid features until then.

5. No Refunds

All subscription payments are non-refundable. As access is granted immediately upon payment, no refunds or credits will be provided for partial subscription periods, downgrades, or unused time if you cancel your subscription.

6. User Responsibilities and Conduct

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Share your account access with others.
• Use the Service for any illegal or unauthorized purpose.
• Attempt to reverse engineer, decompile, or discover the source code or underlying algorithms of the Service or the AI models.
• Transmit any viruses, worms, or malicious code.
• Overload, disrupt, or harm the Service or its infrastructure.

7. Intellectual Property Rights

The Service and its original content (excluding data provided by third parties or content generated specifically for you based on your inputs), features, functionality, and AI models are and will remain the exclusive property of OXX Global LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks may not be used in connection with any product or service without our prior written consent. You retain ownership of the specific inputs you provide to the Service, but grant us a license to use them to provide and improve the Service.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account by cancelling your subscription and ceasing to use the Service, or by following the account deletion process in your security settings.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Service is at your sole risk. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. 10. Limitation of Liability

In no event shall OXX Global LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, typically via email or a notice within the Service.
